Built to supply.
Ready to
distribute.
A clear working relationship for selling EkoMorph products—and a separate way to earn by fulfilling Narnika customer orders.
Narnika Industries Pvt LtdLocal reach.
Shared value.
For discussion. Commercial terms remain subject to mutual agreement and signed documentation. Illustrations are not earnings forecasts.
Two ways to work together.
One clear distinction.
Whether you buy the inventory determines how you earn and who carries the customer risk.
You handle. You deliver.
From incoming truck
to the customer’s door.
For a Narnika-acquired customer, the distributor owns the day-to-day fulfillment responsibility.
Unload
Receive the truck safely, check quantities and visible condition, and record discrepancies.
Store
Keep stock secure and correctly handled. Track owner, lot, location and original receipt date.
Fulfill
Pick and dispatch against authorized customer orders and agreed delivery requirements.
Deliver
Deliver to the customer, retain proof of delivery and reconcile stock movements.
Agreed operating expenses
Unloading and handling labor, inventory administration, delivery, fuel, vehicle use and other documented costs under the agreed budget or rate card.
Warehouse space
Space rent for the first 90 days. For stock remaining afterward, a partial contribution from Narnika is agreed in writing. Responsibility for mishandling remains with the responsible party.
The service fee is additional compensation. Reimbursement covers costs; it is separate from the service fee. These rules apply only to designated service stock.
A clear fee.
For every order you fulfill.
Of net fulfilled product revenue
Your service fee is based on the product value of the orders you fulfill. Narnika Inc invoices the customer and bears customer credit risk.
Your service fee + covered expenses
Agreed unloading, handling and delivery expenses are reimbursed separately. These reimbursements do not increase or reduce the revenue base used to calculate your 3% fee.
Warehouse space
You bear allocated space rent for the first 90 days. A partial contribution for older stock requires a written agreement.
Illustrative monthly service fee on $100,000 of net fulfilled product revenue. Expense reimbursement and any agreed aged-stock rent contribution are additional.
Explore a scenario →Net product revenue excludes taxes, refunds/credits and pass-through charges. Applies only to assigned Narnika customer fulfillment, separate from ordinary wholesale resale. Proposed terms require signed agreement.
Put the numbers on the table.
See your 3% service fee, expense reimbursement and warehouse rent in one monthly scenario.
| Monthly breakdown | Amount |
|---|---|
| 3% service fee | $3,000 |
| Operating costs reimbursed | $5,000 |
| Narnika rent contribution | $0 |
| Total Narnika service paymentFee + operating reimbursement + rent contribution | $8,000 |
| Allocated warehouse space rentPaid by distributor; subtract from fee + rent contribution | $1,500 |
Calculation & assumptions
Service fee = net fulfilled product revenue × 3%. Reimbursements and rent contributions are excluded from the fee base.
Distributor amount after space rent = service fee + Narnika rent contribution − allocated warehouse rent. Operating reimbursements offset equal operating costs, so they do not add to this amount. It is before tax, unrelated overhead and any other unreimbursed costs.
Total Narnika service payment = service fee + operating reimbursement + agreed rent contribution. This is the payment for logistics services, not Narnika’s total product or business costs.
Monthly fulfilled-order illustration only. Unsold inventory timing, cash-flow delays and capital costs are not modeled. Track costs relating to undelivered stock separately. Inputs and revenue presets are hypothetical, not forecasts or promised earnings. The illustrated storage share is not an agreed term.
Net product revenue excludes taxes, refunds/credits and pass-through charges as defined in the agreement. Customer nonpayment is Narnika’s risk under the proposal. All amounts are USD.
Keep stock moving.
Plan for stock that doesn’t.
The proposal treats the first three months as 90 days from each lot’s original receipt date.
Receive & rotate
The distributor bears allocated space rent. Narnika funds agreed operating expenses from the start.
Review aging
Identify units likely to remain beyond 90 days. Start the storage contribution discussion.
Share agreed rent
A written supplement sets the partial contribution, allocation and payment terms. No automatic percentage is agreed.
Arrange removal
The distributor may give notice requiring collection or transfer within 15 days at Narnika’s cost, with continued care in the meantime.
An example to discuss
$1,000 eligible rent × 50% = $500
Illustrative Narnika contribution for the period. Only rent attributable to the aged stock is included. The rate must be negotiated; 50% is not a signed term.
Agree the basis, not just the percentage
Which pallets or floor area? How many days? What evidence of rent? Who approves the amount? What happens if customer demand changes?
Try aged stock in the calculator →Clear scope.
Clear expectations.
A two-year term
Renewal by signed agreement. The draft includes breach remedies and no general convenience termination during the term.
Independent & nonexclusive
You operate your own business, set your resale prices and may carry competing products. No implied protected territory.
Named assignments
Each assignment identifies the customer, stock owner, warehouse, capacity, service levels, costs and instructions.
A 3% revenue service fee
3% of net fulfilled product revenue for assigned logistics services, subject to signed agreement. No guaranteed order volume or customer earnings.
Monthly reconciliation
Proposed fee payment within 30 days after month end; supported operating expenses within 30 days of submission.
An orderly handover
A service assignment may end on 60 days’ notice under the draft. Earned fees remain payable and service stock is reconciled and transferred.
Discussion summary with the 3% revenue service fee. The signed agreement and applicable law govern. The intended supplier–distributor structure requires legal review based on actual terms and operations.
